No suelo hacer revisiones, pero de vez en cuando me encargan revisar la traducción de un testamento. Uno de los errores más comunes sucede en la traducción del verbo "take". Por ejemplo:

➡️'I direct that my daughter, Emma Carter, shall take my personal library, including all books, manuscripts, and journals, upon my passing, to be enjoyed by her absolutely.'

La figura del fideicomiso o trust en el derecho anglosajón surgió de la confianza (en latín, fides) que una persona (el fideicomitente o settlor) depositaba en otra (el administrador fiduciario o trustee) para que administrara y gestionara ciertos bienes en beneficio de un tercero (el beneficiary o fideicomisario).

Sin embargo, en un contexto jurídico, traducir "breach of trust" como abuso de confianza (como proponen muchos diccionarios) no es adecuado por varias razones, ya que el término tiene un significado específico que va más allá de un mero quebrantamiento de confianza en el sentido común y traducirlo de ese modo diluye ese significado técnico.

Las relaciones fiduciarias están reconocidas en diferentes contextos (por ejemplo, en el societario, entre los administradores y la sociedad/los socios), pero cuando hablamos de "breach of trust" nos referimos al incumplimiento de las obligaciones fiduciarias contraídas por el administrador fiduciario (trustee) en la administración del trust (fideicomiso). Estas obligaciones vienen impuestas por la ley (en el Reino Unido, la Trustee Act 2000, entre otras) o por las disposiciones del trust y su incumplimiento puede conllevar consecuencias legales, como incurrir en responsabilidad civil o incluso penal.

Algunos ejemplos de incumplimiento de estas obligaciones del fiduciario son:

- Una gestión deficiente de los fondos y bienes fideicomitidos que conlleva una pérdida económica para los fideicomisarios o beneficiaries.

- Trato discriminatorio a unas clases de fideicomisarios con respecto a otros.

- Decisiones de inversión equivocadas

La terminología naval, naviera y náutica, ya sea en inglés o en español, es una lengua de especialidad que ha evolucionado a lo largo de los siglos debido a la rica historia de la navegación.

Hay palabras de uso general que adquieren un significado específico en el contexto de especialidad. Por ejemplo, en las medidas técnicas específicas del navío:

La apostilla electrónica (e-Apostille) se usa para legalizar determinados documentos. En el Reino Unido, la apostilla lleva la firma electrónica de la Oficina de Legalizaciones del Foreign Office (Ministerio de Asuntos Exteriores).

El documento debe estar certificado por un notario o abogado colegiado en el Reino Unido. Después, se entrega en formato PDF para el apostillado.

Una vez recibido el documento que se va a legalizar, se emite la apostilla en formato electrónico. El PDF incluirá una 'cover letter' con instrucciones para acceder al documento legalizado y la apostilla (se necesita Adobe Reader) y, posteriormente, proceder a su traducción jurada, si fuera necesario.

En el Reino Unido, algunos documentos no se pueden apostillar electrónicamente, por ejemplo, partidas de nacimiento, defunción, certificados de matrimonio o adopción o cualquier otro documento del Registro Civil, certificados de antecedentes penales de Inglaterra y Gales o certificados de huellas dactilares.

In corporate mergers, "acuerdo de fusión" should not be translated as "merger agreement", but rather as "merger resolution".

In Spanish, "acuerdo de fusión" generally refers to the decision (known as the "acuerdo social") made by the shareholders or partners of the merging companies in a general meeting, where they formally express their intent to execute the merger. It represents a firm decision by the merging companies but does not constitute a bilateral contract. "Merger resolution" is a more accurate translation of acuerdo de fusión in Common Law systems, as it refers to a formal decision adopted by the members of a company’s governing bodies.

In English, a "merger agreement" is a formal contract between the two merging parties that outlines the terms, conditions, and obligations resulting from the transaction. It is a broader and more formal contractual document that may include various elements, such as liability clauses and conditions for closing the deal.

In summary, while the merger agreement refers to the actual contract between the merging companies, the acuerdo de fusión in Spanish is an internal decision, making merger resolution the most appropriate translation.
